These Terms of Use (“Terms”) govern your access to and use of the websites, applications, dashboards, devices (including OptiWaste), and related support, sales, and marketing services (collectively, the “Services”) provided by Forgevision LLP (“Forgevision LLP”, “we”, “us”, “our”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please discontinue use immediately.

1. Eligibility

• You must be at least 18 years old and have the legal capacity to enter into a binding contract.

• If you are using the Services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

2. Accounts & Responsibilities

• To use certain Services (e.g., dashboards), you may need to register an account. You agree to provide accurate and up-to-date information.

• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

• You agree not to share your credentials with unauthorized persons or allow misuse of your account.

3. License to Use Services

• Forgevision LLP grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services in accordance with these Terms.

• You may not copy, modify, reverse engineer, decompile, resell, or exploit the Services except as expressly permitted by Forgevision LLP.

4. Intellectual Property

• All intellectual property rights in the Services, including but not limited to software, devices, analytics models, dashboards, logos, and branding, remain the sole property of Forgevision LLP or its licensors.

• Nothing in these Terms transfers ownership of any intellectual property to you.

5. Subscriptions, Payments & Invoicing

• Access to certain Services may require a subscription or service fee. Payment terms will be set out in the applicable order form, invoice, or subscription agreement.

• Fees are non-refundable, except where required by law.

• If payment is delayed, Forgevision LLP reserves the right to suspend or terminate Services until dues are cleared.

6. Device Usage & Customer Responsibilities

• Devices (including OptiWaste units) provided under subscription remain the sole property of Forgevision LLP.

• You agree to handle all devices with reasonable care and in accordance with instructions provided by Forgevision LLP.

• You shall be responsible for:

  • Ensuring devices are used only for their intended purpose.

  • Preventing unauthorized access, tampering, or modification of hardware, firmware, or software.

  • Safeguarding devices against theft, loss, or physical damage.

• Any damage, theft, or loss of devices while in your possession shall be your responsibility, and you agree to reimburse Forgevision LLP for repair or replacement costs (excluding normal wear & tear or manufacturing defects).

• Forgevision LLP reserves the right to remotely monitor device performance and logs, and to conduct physical inspections upon reasonable notice.

• Upon termination of Services, all devices must be returned to Forgevision LLP within 15 days in working condition. Failure to return devices may result in charges equal to the replacement cost.

7. Prohibited Activities

You agree not to:

• Use the Services for unlawful, harmful, fraudulent, or abusive purposes.

• Upload content that infringes intellectual property rights, is offensive, or violates applicable law.

• Attempt to gain unauthorized access to our systems or interfere with their operation.

8. Data & Privacy

• Your use of the Services is also governed by our Privacy Policy and Cookie Policy.

• By using the Services, you consent to the collection and processing of your personal data as described in those policies.

9. Service Availability & Disclaimers

• Forgevision LLP strives to keep Services available and accurate but does not guarantee uninterrupted access, error-free performance, or absolute accuracy of insights.

• Services are provided on an “as-is” and “as-available” basis without warranties of any kind, whether express or implied.

10. Limitation of Liability

• To the maximum extent permitted by law, Forgevision LLP shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, or goodwill.

• Our total liability for any claim relating to the Services shall not exceed the fees you paid to us in the 12 months preceding the claim.

11. Indemnity

You agree to indemnify and hold harmless Forgevision LLP, its affiliates, officers, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including legal fees) arising out of or related to:

• Your misuse of the Services or devices.

• Your violation of these Terms or applicable laws.

• Any third-party claims resulting from your actions or failure to safeguard devices.

12. Termination

• You may stop using the Services at any time.

• Forgevision LLP may suspend or terminate your access if you breach these Terms, fail to pay fees, or misuse the Services.

• Upon termination, your license ends, and you must cease all use of the Services and return any rented devices as per Section 6.

13. Force Majeure

Forgevision LLP shall not be held liable for any failure or delay in performance caused by events beyond its reasonable control, including natural disasters, strikes, acts of government, internet outages, or cyberattacks.

14. Governing Law & Jurisdiction

• These Terms are governed by the laws of India.

• Any disputes shall be subject to the exclusive jurisdiction of courts in Raipur, Chhattisgarh, India.

15. Changes to Terms

We may update these Terms from time to time. The latest version will always be available on our website. Continued use of the Services after updates constitutes acceptance of the revised Terms.
